New York's Blue Sky Securities Laws: A Primer for Startups and Other Issuers

This book addresses various ways a company can raise equity capital while complying with the securities laws of the State of New York, specifically the Martin Act. This book also touches on the federal securities laws, as an understanding of same is necessary to determine the application of the Martin Act. This book does not focus specifically on theatrical or real estate offerings, although some of the items addressed herein may be applicable to same. While legal authority is cited, this book is not intended to be a legal treatise, but rather a nuts and bolts presentation of the overarching issues.
