Pursuing claims for compensation against management and supervisory boards and senior managers is fraught with various problems. These problems arise when stockholders unconditionally “discharge” executives and only later become aware of transgressions. The study seeks to understand in which cases discharging leads to the loss of compensation rights and exempts board members from liability.
